1. Definitions
Software: The Leaxio platform and all its components, including but not limited to code, design, documentation, API, and updates.
Licensee: The user or legal entity subscribed to a Leaxio plan.
Service: Access to the Software under a subscription model (SaaS).
2. License grant
Leaxio grants the Licensee a non-exclusive, non-transferable, revocable, and limited license to access and use the Software according to the subscribed plan. This license is for the Licensee's internal business use and is subject to payment of applicable fees.
3. Use restrictions
The Licensee may NOT:
- Copy, modify, distribute, or create derivative works of the Software.
- Reverse engineer, decompile, or disassemble the Software.
- Resell, sublicense, rent, or transfer Software access to third parties.
- Remove or alter intellectual property notices in the Software.
- Use the Software to build competing products.
- Extract Software data through scraping, bots, or unauthorized automated methods.
- Bypass contracted plan limits through technical methods.
4. Intellectual property
Leaxio and its licensors retain all rights, title, and interest in the Software, including copyrights, trademarks, patents, trade secrets, and other intellectual property rights. This license does not transfer any ownership rights in the Software.
Data entered by the Licensee remains the Licensee's property. The Licensee grants Leaxio the license required to process such data and provide the Service.
5. Limited warranties
The Software is provided on an “AS IS” basis. While Leaxio strives to keep the Service available and functional under the applicable SLA, it does not guarantee that the Software will be error-free, uninterrupted, or fit every specific Licensee requirement.
Leaxio does not guarantee compatibility with all hardware, software, or Licensee configurations.
6. Limitation of liability
To the maximum extent permitted by law, Leaxio is not liable for indirect, incidental, special, consequential, or punitive damages, lost profits, data loss, or business interruption arising from use or inability to use the Software.
Leaxio's total liability for any claim under this agreement is limited to the amount paid by the Licensee during the 12 months preceding the event giving rise to the claim.
7. Updates and maintenance
Leaxio may update the Software periodically to improve functionality, security, or performance. Minor updates are implemented automatically. Major updates that significantly affect functionality will be communicated with reasonable prior notice.
The Licensee acknowledges that continued access to the Service requires an active subscription.
8. License termination
This license remains in effect while the subscription is active and the Licensee complies with these terms. Leaxio may suspend or terminate access immediately if:
- The Licensee breaches this agreement or the Terms of Service.
- The Licensee fails to pay applicable fees.
- The Licensee uses the Software in a way that impacts security or service availability.
Upon termination, the Licensee must stop all use of the Software. Leaxio will provide a reasonable period for data export according to the Refund Policy.
9. Data export
When the subscription ends, the Licensee may export data during the established retention period (typically 30 days). After that period, Leaxio may permanently delete data according to the Privacy Policy.
10. Governing law and jurisdiction
This agreement is governed by the laws of Mexico. For Licensees located in the European Union, GDPR and applicable local legal protections also apply.
Disputes arising from this agreement will be resolved through good-faith negotiation and, if necessary, arbitration in Mexico or in the Licensee's jurisdiction as applicable.
11. Modifications
Leaxio may modify this EULA by giving at least 30 days' notice. Continued use of the Software after the effective date constitutes acceptance of the modified terms.
